Become a part of the “strength within.” Hexcel is currently seeking an Assistant General Counsel, Securities and Governance for our Corporate Headquarters in Stamford, CT. This position reports to the Executive Vice President, General Counsel & Corporate Secretary. The successful candidate should possess strong legal experience gained from a combination of private practice and in-house roles with a solid academic foundation. The selected individual will be responsible for but not limited to the following obligations: Playing a key role in drafting and advising on filings with the Securities and Exchange Commission (SEC), including annual and quarterly reports on Forms 10-K and 10-Q, Form 8-K, and Proxy Statements Providing legal advice to ensure compliance with SEC and New York Stock Exchange requirements Counseling in securities transactions, including debt offerings registered under the ’33 Act, banking agreements, and other finance matters Assisting in Preparation of Section 16 and Rule 144 filings and advising executive officers and directors with respect to the same Providing support on matters relating to the board of directors with respect to the board, committee meetings, the annual meeting of stockholders, and corporate governance matters Providing legal counsel on a diverse range of matters related to day-to-day operations of the Company, and supporting senior management and various departments; including finance, treasury and tax Actively advising on disclosure matters, including reviewing and commenting on press releases, securities analysts’ communications and presentations Assisting with coverage of general corporate, international, regulatory, commercial matters, and reviewing contracts Qualifications: JD Degree from a top institution Minimum 5 years of experience, principally in corporate and federal securities laws and requirements applicable to public company matters A strong desire, interest, and capacity to continuously learn and expand expertise in breadth and depth, both with respect to the law and the Company's business A detail-oriented professional with a reputation for precision and strong organizational skills Must possess a good general understanding of financial statements and accounting principles and be comfortable discussing underlying financial statement concepts, including accounting and tax Ability to contribute to discussions of general business issues and understand and counsel clients in a manner consistent with the Company's goals and culture Excellent written and oral communication skills and research skills Flexibility and ability to work in a fast-paced environment Strong judgment, and the ability to weigh legal and non-legal considerations appropriately, creatively, and flexibly in exercising that judgment Natural instinct and ability to work collaboratively and cooperatively with others, and to build teams rather than foster competitive or isolated approaches Must possess discretion, tact, and ability to maintain strict confidentiality Exhibit an impeccable level of professional integrity Eligible candidate must be: U.S. citizen, U.S. national, a person lawfully admitted for permanent residence, a temporary resident under sections 210(a) or 245(A) of the Act, a person admitted in refugee status, a person granted asylum.
