Sr. Commercial Transactions Counsel

Applied Materials is seeking an experienced, creative and energetic team player who will be a business partner/advisor to our fast-growing, new business opportunities. This person should be comfortable interacting with business executives, product & development teams, our sales force, and our customers. The Applied environment is fast paced, friendly, and hard-working. This Director level position will report to a Managing Director in the Global Law Department.

Key responsibilities include:

  • Providing business and legal advice to our growth businesses
  • Assisting business/sales team and other stakeholders in understanding contract provisions & implications and assessing & mitigating legal/business risks (e.g., indemnifications, liability)
  • Reviewing, drafting and negotiating a broad range of commercial, IP and other contracts to achieve desired business objectives
  • Implementing commercial/contract processes, including compliance to contractual obligations, and developing agreement templates
  • Performing general legal research and due diligence in connection with the above

Desired experience:

  • 5-8 years of legal experience with a focus in the following areas:
  • Commercial matters and transactions in a wide range of industries and technologies, including customer and supplier agreements, JDA/evaluation agreements, sponsored research agreements and government funding agreements
  • Transactions involving IP rights, including ownership and licensing thereof
  • Licensed in California
  • Also beneficial would be experience in:
  • Life sciences
  • Non-equipment focused business models
  • Financing, investment and M&A transactions
  • Transactions with non-US based entities
